Subject: Selection of an auditor

Legal basis: Article 56 Section 1 Item 2 of the Act on Offerings – current and periodic information

The Management Board of ENERGA SA (“Company”) hereby reports that, in connection with the entry into force of the Regulation of the European Parliament and of the Council (UE) on specific requirements regarding statutory audit of public-interest entities and the expected enactment, by the Polish parliament, of an act implementing the EU regulations providing for the minimum period of two years for which a statutory audit agreement should be signed, the Supervisory Board decided to carry out a procedure to elect an auditor for the years 2017-2018.

Following the procedure, which included the recommendation of the Audit Committee, on 20 December 2016 the Company’s Supervisory Board selected the authorized entity KPMG Audyt spółka z ograniczoną odpowiedzialnością sp.k. with its registered office in Warsaw, ul. Inflancka 4A (“KPMG”) as the statutory auditor to audit and review the financial statements and consolidated financial statements of ENERGA SA and the ENERGA Group for the following periods:

• in the case of audit: annual financial statements for the period ended 31 December 2017 and 2018,
• in the case of a review: semi-annual financial statements for the period ended 30 June 2017 and 2018.

KPMG is registered in the list of entities authorized to audit financial statements kept by the National Council of Statutory Auditors under file number 3546.
